Australia-listed & world’s largest fiber building solutions James Hardie Industries ($9.7 billion market value) shareholders are questioning Australian Securities Exchange (ASX) waiver of shareholder vote for issuing new shares in acquisition of United States AZEK Building Products for $8.75 billion (23/3/25), with James Hardie Industries ordinary shares to be listed on NYSE (New York Stock Exchange). On 28th April 2025, James Hardie announced to hold shareholder vote to shift primary listing to NYSE. Announcement (28/4/25): “Following announcement of the AZEK transaction, members of management and the Board have engaged with many of our shareholders to discuss the transaction and how it would provide an opportunity to accelerate our growth strategy, enhance our financial profile and generate meaningful shareholder value for existing James Hardie investors. Following these discussions with our shareholders, the Board is publicly confirming below its position on key elements of corporate governance related to the AZEK transaction. 1) We will continue to maintain an independent Chair and a majority of independent directors. 2) We will continue to align management remuneration with generation of shareholder value and continue to hold an advisory vote on remuneration each year. 3) We are not seeking Foreign Exempt listing status and would hold a shareholder vote before making any decision to change our ASX listing status.” James Hardie Industries was founded in 1888 in Australia, with headquarters currently in Ireland & management team in United States.
